These Terms of Use are entered into by and between you and Liown Capital Corporation (“Company,” “we,” or “us”) and govern your access to and use of liowncapital.com.

Acceptance of the Terms of Use

These terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use”), govern your access to and use of https://liowncapital.com (the “Website”), including any content, functionality, and services offered on or through the Website.

By using the Website, you accept and agree to be bound by these Terms of Use and our Privacy Policy, incorporated here by reference. If you do not agree, you must not access or use the Website.

The Website is offered to users who are 13 years of age or older. By using the Website, you represent that you meet this eligibility requirement.

The Liown Capital name and related names, logos, product and service names, designs, and slogans are trademarks of the Company, its affiliates, or licensors. They may not be used without prior written permission. Other names and marks appearing on the Website belong to their respective owners.

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to:

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from claims, liabilities, damages, judgments, losses, costs, expenses, and fees arising from your violation of these terms or your unauthorized use of the Website or information obtained from it.

Governing Law and Jurisdiction

Matters relating to the Website and these Terms of Use, including non-contractual disputes or claims, are governed by the internal laws of the State of California without giving effect to choice-of-law rules.

Subject to the arbitration provision below, any legal suit, action, or proceeding arising from these terms or the Website must be instituted in the federal or state courts located in the City of Santa Ana and County of Orange, California. You waive objections to jurisdiction and venue in those courts. We retain the right to bring an action against you in your country of residence or another relevant country.

Dispute Resolution and Binding Arbitration

You and Liown Capital agree to give up rights to litigate covered claims in court or before a jury. Other rights that would be available in court may also be unavailable or limited in arbitration.

Any claim, dispute, or controversy between you and us arising from or relating to your visit to or use of the Website will be resolved exclusively and finally by binding arbitration, except as otherwise provided below.

Arbitration will be administered by JAMS in Orange County, California, under its Comprehensive Arbitration Rules and Procedures applying California law, as modified by this section. The Federal Arbitration Act governs interpretation and enforcement of this section. The arbitrator has exclusive authority to resolve disputes about arbitrability or enforceability and may grant relief available in court. An award is final and binding and may be entered as a judgment in a court of competent jurisdiction.

You may pursue an eligible claim in small-claims court rather than arbitration by providing written notice within 60 days after the dispute arises. Any arbitration or small-claims proceeding will be limited to the individual dispute.

Neither you nor Liown Capital may join or consolidate claims by or against others, participate as a class representative or class member, or act in a private-attorney-general capacity. The tribunal may not consolidate more than one person’s claims or preside over a representative or class proceeding.

A challenge to the class-arbitration waiver may be raised only in a court of competent jurisdiction. If a provision of this arbitration agreement is unenforceable, it will be severed and the remaining arbitration terms enforced.

Limitation on Time to File Claims

Any cause of action or claim arising out of or relating to these Terms of Use or the Website must be commenced within one year after the cause of action accrues; otherwise, it is permanently barred.

Waiver and Severability

A waiver by the Company of a term or condition is not a continuing waiver or a waiver of another term. A failure to assert a right or provision does not constitute a waiver. If a provision is held invalid, illegal, or unenforceable, it will be eliminated or limited to the minimum extent necessary and the remaining provisions will continue in effect.

Entire Agreement

These Terms of Use, our Privacy Policy, and our Notice at Collection constitute the entire agreement between you and the Company regarding the Website and supersede prior and contemporaneous understandings, representations, and warranties concerning the Website.
